Agentlo Seller Terms

What this is

These Seller Terms apply once you've been approved as a Reseller on Agentlo. They sit on top of the general Terms of Service — in case of conflict, the section that more specifically addresses seller conduct controls.

Marketplace sales are peer-to-peer. Every Marketplace sale is between you (the seller) and the buyer. Agentlo is not a party to the sale — we operate the platform that makes the transaction easier and provide safety nets including escrow of the buyer's funds and tools that let you upload packing proof, shipping proof, and shipping-receipt photos or videos to support your fulfillment. 1. Becoming a seller

To list items on the Marketplace you must apply via the Sell page. Approval is at our discretion and is granted by assigning the Reseller role to your account. You must be at least 18 years old, the owner of (or legally entitled to sell) every item you list, and able to ship from a permitted country.

We may approve, decline, or revoke seller status at any time. If your status is revoked, your active listings will be removed; any open escrows continue to follow the dispute process already in motion.

2. Listings & accuracy

Every listing must be honest. The title, description, condition, photos, brand, size, and any inclusions must accurately reflect the item being sold. Stock photos are not acceptable for used or one-of-a-kind items; you must show the actual item.

Listings start in a pending state and only go live after we approve them. We may decline, edit, pause, or remove any listing if we judge it unsafe, misleading, or non-compliant. We may also pause a listing while we review a dispute or report.

You may list a single item only once. Duplicate listings are subject to removal.

3. Prohibited items & intellectual-property policy

Zero tolerance for counterfeits and IP infringement. Listing items that imitate, reproduce, or otherwise infringe a third party's trademarks, logos, trade dress, copyrighted artwork, design rights, or any other intellectual-property right is grounds for immediate removal of the listing. A second violation is grounds for permanent ban and forfeiture of any pending payouts.

Notice-and-takedown

Agentlo maintains a notice-and-takedown process at ip@agentlo.co for rights holders. We act on substantiated complaints and we maintain repeat-infringer records. If your listing is taken down on the basis of an IP complaint, you may submit a counter-notice to the same address; if you receive multiple substantiated complaints we will permanently revoke your seller status.

Indemnity. If a third party brings a claim against Agentlo arising out of an item you listed, sold, photographed, or described — including any IP, product-liability, customs, or regulatory claim — you agree to defend, indemnify, and hold Agentlo and its affiliates harmless against that claim under Marketplace Terms §2.14.

4. Pricing, fees & boosts

You set your own listing price and shipping price. Our 5% platform fee is added to the buyer's checkout total, not deducted from your proceeds — you receive the full offer amount plus the shipping you set on the listing. The platform fee may change; the rate at the moment of purchase is the rate that applies to that order.

You may optionally boost a listing for €5 (currently 7 days). Boost fees are charged once at the time you boost and are non-refundable. Boost is a placement signal only — it does not guarantee a sale.

You may not artificially inflate the listing price to absorb the platform fee deceptively, list items at a price you don't intend to honor, or reach off-platform to renegotiate after a buyer has paid.

5. Escrow, payout & the 14-day window

When the buyer pays, the funds are held in escrow by Agentlo. They are released to your Agentlo wallet when one of these occurs:

Your payout equals the offer amount plus the shipping you set; the platform fee remains with Agentlo. If a dispute is upheld for the buyer, your payout is cancelled and the full amount (item + shipping + fee) is refunded to the buyer. We do not retain the platform fee on disputes decided for the buyer.

Wallet balances may be withdrawn or used for Marketplace purchases, subject to wallet terms and any anti-fraud holds we may apply (for example, holds on accounts under active dispute review or with abnormal activity).

6. Shipping obligations

You must ship every paid order to the address provided at checkout, using a tracked service appropriate to the item. We expect sellers to ship within 5 business days of payment. If you cannot ship within that window, message the buyer through the inbox to set expectations.

If you cannot fulfill an order at all, contact the buyer through the inbox and offer a refund. The refund itself is processed by Agentlo through the dispute flow once the buyer files an order report; sellers cannot unilaterally refund a paid order.

Free shipping is at your option; if you offer it, the cost is yours.

7. Tracking & proof requirements

Tracking is the trigger for the 14-day auto-payout, so it must be:

Fake or recycled tracking is fraud. Adding a tracking number that doesn't correspond to the actual shipment will result in immediate suspension and forfeiture of the payout, and we reserve the right to ban the account.

Shipping proofs are optional but strongly recommended. You may upload up to 4 packing photos/videos, 4 shipping photos/videos, and 2 receipt photos. They significantly improve your position if a buyer later disputes the order.

8. Disputes & refunds

A buyer may file an order report at any time before the 14-day auto-release. While a dispute is open, escrow is held and the chat thread stays open so you can communicate with the buyer.

Agentlo reviews each dispute on the basis of the listing description, the chat history, the tracking record, the proofs you've uploaded, and any evidence the buyer provides. Outcomes are closed (dispute denied; payout released to you) or accepted (dispute upheld; full refund to buyer; your payout is cancelled). Our decision is final.

Bad-faith or repeated losing disputes will negatively affect your seller standing and may lead to suspension.

9. Conduct & communication

The Agentlo inbox is the official channel for buyer communication during a transaction. You agree to:

If a user violates these rules toward you, use the inbox's Report and Block action. That permanently severs every interaction between you and that user across the entire Marketplace.

10. Taxes

You are solely responsible for declaring and paying any income, VAT, sales, or other taxes that apply to your Marketplace earnings. Agentlo does not withhold tax from your payouts. We may be required to share aggregate seller data with tax authorities under applicable digital-platform reporting laws (e.g. EU DAC7); if that becomes necessary we will provide notice.

11. Buyer data

You receive the buyer's shipping address only after payment is completed and only for the purpose of fulfilling the order. You may not retain, share, or use buyer addresses or contact information for any other purpose, including marketing or off-platform outreach. Misuse of buyer data is a breach of these terms and may also be a breach of data-protection law.

12. Suspension & revocation

We may suspend, restrict, or permanently revoke your seller status — with or without notice — for breach of these terms, suspected fraud, listing prohibited items, repeated dispute losses, abusive behaviour toward buyers or staff, or any conduct we judge harmful to the Marketplace. Triggers that we treat with zero tolerance:

If your seller status is revoked, all active listings are removed; existing escrows are resolved through the dispute process already in motion; pending payouts may be held while we investigate; and you may be permanently barred from re-applying.

13. Changes to these terms

We may update these Seller Terms (and the platform fee, boost price, payout window, or proof caps) from time to time. Material changes will be announced on the platform or via email. Continued use of the Sell flow after a change takes effect constitutes acceptance of the updated terms.
